Material Transfer Agreement Fast Track

Purpose of this form

This form helps you check whether your Material Transfer Agreement can be approved quickly through the FastTrack procedure. By answering the questions, you provide the information we need to make an initial assessment.

When your Head of Department signs, they confirm that the information you have given is correct. If your agreement does not meet the FastTrack requirements, or if you are unsure, you can always contact the Legal Team for Research and IP for guidance.

Please note that the Uniform Biological Material Transfer Agreement (dated March 8, 1995, for transfers between non-profit institutions, AUTM reference) is always acceptable without review by the Legal Team, as long as the Implementing Letter does not include terms that conflict with points 1–5 in this questionnaire.

Once you have completed the form, you will receive an email confirmation if your Material Transfer Agreement meets the FastTrack requirements. If it does not, your agreement will be handled manually by the Legal Team.

Before you can check whether your MTA is eligible for the fast track procedure, please answer the following:

Will you only use the material you are going to receive for your teaching or academic research purpose (not commercial purposes, clinical trials, or diagnostics in humans)?
Will you only use the material at the University of Copenhagen’s premises, and the use will be under your responsibility as the designated scientist?
Will you not transfer the material to others within or outside the University of Copenhagen?

There are no obligations to assign inventions, results, or know-how back to the provider?
Provisions where provider keeps ownership of their own material (e.g. ‘the provider retains ownership of the material’).

There are no obligations to keep in confidence a) the material or b) information regarding the material, or c) your results having used or relating to the material.
Acceptable provisions include standard confidentiality clauses limited to the provider’s background information, but not extending to your own results.

There are no requirements to a) pre-approve your publications, or b) postpone your publications.
Provisions which require you to acknowledge the provider of the material in publications (e.g. The recipient agrees to provide appropriate acknowledgment of the source of the material in all publications).

The agreement does not contain provisions on governing foreign (i.e. not Danish) law, forum or jurisdiction.
Acceptable provisions include clauses where Danish law applies, or where the agreement is silent on governing law/jurisdiction.
